These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law principles.  

Any dispute, controversy, difference or claim arising out of or in connection with these Terms, including any question regarding its existence, validity or termination, shall be resolved exclusively through final and binding arbitration in Toronto, Ontario, Canada, in accordance with the rules of the Arbitration and Mediation Institute of Canada. The language of the arbitration shall be English.
